Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Savor Technologies LLC(“Savor,” “we,” “our,” or “us”) governing your use of the Savor platform and related services (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract on behalf of yourself or your business to use Savor. The platform is intended for use by food service businesses (restaurants, cafes, catering companies, and similar) and food and beverage vendors and distributors. By accepting these Terms you represent that you meet these requirements.

2. Accounts and Organizations

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when registering.
• Keep your email address and account information up to date.
• Notify us promptly if you believe your account has been compromised.
• Not share your password or allow others to access your account except through Savor’s built-in team member features.

When you create or join an organization on Savor, your use of the Services on behalf of that organization is also subject to these Terms. Organization admins are responsible for ensuring all team members comply with these Terms.

3. Subscriptions and Billing

Certain features of Savor are available only through a paid subscription. Subscriptions are available for both restaurant and vendor organizations.

• Billing. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan you select) through Stripe. By subscribing you authorize Savor to charge your payment method on the applicable billing cycle.
• No direct payments between users.Savor’s subscription billing is solely between you and Savor. Savor does not facilitate, process, or guarantee payments between restaurants and vendors. Any financial arrangements between platform users are conducted independently of Savor.
• Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends.
• Refunds. Subscription fees are generally non-refundable except where required by applicable law or at our sole discretion. If you believe you were charged in error, contact us and we will review the matter.
• Price changes. We may modify subscription pricing from time to time. We will provide reasonable advance notice of material pricing changes. Continued use of the Services after a price change constitutes acceptance of the new price.
• Taxes. You are responsible for any applicable taxes on your subscription. Prices displayed may be exclusive of taxes.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms.
• Impersonate any person or entity, or falsely represent your affiliation with a business.
• Upload or transmit malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to any system.
• Scrape, bulk-export, or systematically collect data from the platform (including the public vendor directory) without our prior written permission.
• Resell, redistribute, or commercialize directory data or platform content without written authorization from Savor.
• Send spam, unsolicited commercial messages, or harassing content through the platform’s messaging features.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
• Attempt to gain unauthorized access to any account, system, or network related to the Services.
• Use the Services to store or transmit content that is illegal, defamatory, or that infringes any third party’s intellectual property rights.

5. Your Content

You retain ownership of the content you submit to Savor — including invoice documents, vendor profile information, messages, and posts. By uploading or submitting content, you grant Savor a limited, non-exclusive, royalty-free license to store, process, and display that content solely to provide the Services to you.

You represent and warrant that you have the right to upload any content you submit, that it does not violate any applicable law, and that it does not infringe any third party’s rights.

6. AI-Assisted Invoice Extraction

Savor uses an AI model to extract structured data from invoices you upload. This feature is provided as a convenience tool. You acknowledge that:

• AI extraction is not guaranteed to be accurate or complete. You are responsible for reviewing and verifying all extracted data before relying on it.
• Invoice documents may be transmitted to third-party AI service providers for processing and extraction. See our Privacy Policy for details.
• You should not upload invoices containing sensitive personal information beyond what is necessary for the invoice (e.g., social security numbers, full financial account numbers).

7. Third-Party Integrations

Savor lets you connect certain third-party services to your account, such as QuickBooks Online (provided by Intuit). These integrations are optional and are enabled only when you choose to connect them.

• When you connect a third-party service, you authorize Savor to exchange information with that service on your behalf, solely to provide the features you enable — for example, recording your approved invoices in your connected QuickBooks company.
• Your use of the connected service remains subject to that provider’s own terms and privacy policy. Savor is not responsible for third-party services, and your relationship with each provider is between you and that provider.
• You may disconnect a third-party service at any time from your account settings or from within the service itself. Disconnecting stops further data exchange and revokes Savor’s access.

8. Public Vendor Directory

The public vendor directory at findsavor.com/vendors is provided to help restaurants discover food and beverage suppliers. By listing your business on the public directory, you grant Savor the right to display your business information publicly. You may control your public profile from your account settings.

Savor does not guarantee the accuracy, availability, or quality of any vendor listed in the directory. Directory data is provided for discovery purposes only and does not constitute an endorsement of any vendor.

You may not scrape, bulk-export, or resell directory data without prior written permission from Savor.

9. Intellectual Property

The Savor platform, including its software, design, branding, and content created by Savor (excluding your submitted content), is owned by Savor Technologies LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any Savor-owned content without our express written permission.

10. Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes the analytics, error monitoring, and advertising measurement tools we use and explains your choices regarding data collection.

11. Disclaimers

The services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Savor does not warrant that the services will be uninterrupted, error-free, or free of harmful components. Savor does not guarantee the accuracy of AI-extracted invoice data, vendor directory listings, or any other user-generated content on the platform.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Savor and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of or inability to use the services; (b) any unauthorized access to or use of our servers or any personal information stored therein; (c) any errors, inaccuracies, or omissions in data, content, or outputs generated or processed through the services; or (d) any other matter relating to the services. In no event shall Savor’s total liability to you for all claims exceed the amount you paid to Savor in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Savor Technologies LLCand its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your submitted content, or your violation of these Terms.

14. Beta Features

We may make certain features available on a preview, beta, or experimental basis. Such features are provided “as is” and may be modified, suspended, or discontinued at any time.

15. Modifications to the Services

We may modify, suspend, or discontinue any portion of the Services at any time, with or without notice.

16. Termination

You may delete your account at any time from your account settings. We may suspend or terminate your account at our discretion if you violate these Terms or engage in conduct we determine to be harmful to the platform or its users, with or without prior notice.

Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimer, limitation of liability, and governing law) will survive.

When your account is deleted — whether by you or by us — we will retain your invoice data, extracted line items, and uploaded documents for 30 days in a deactivated state in case you wish to reactivate, after which they are permanently deleted from our systems. Billing records required for legal or tax compliance may be retained in anonymized form for up to 7 years. See our Privacy Policy for the full account deletion schedule.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Services shall be resolved in the state or federal courts located in New Jersey, and you consent to personal jurisdiction in those courts.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before the new Terms take effect. Your continued use of the Services after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

19. Force Majeure

Neither party will be liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, internet or infrastructure outages, or actions of third-party service providers. If such circumstances persist for more than 60 days, either party may terminate the Services upon written notice.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms to any third party without our prior written consent. Savor may assign these Terms without restriction in connection with a merger, acquisition, or sale of all or substantially all of its assets. These Terms are binding on and inure to the benefit of permitted successors and assigns.

21. Billing Disputes

If you believe a charge is incorrect, you must notify us at team@findsavor.com within 60 days of the charge date. We will review the dispute and respond within 10 business days. Charges not disputed within 60 days are final and non-refundable. If we determine a billing error occurred, we will issue a credit to your account or a refund at our discretion.

22. General Provisions

• Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Savor regarding the Services and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
• Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Savor.
• Independent Contractors. Savor and you are independent contractors. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between the parties.
• Notices. Notices to Savor must be sent by email to team@findsavor.com. Notices to you will be sent to the email address associated with your account and are effective when sent.

23. Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be finally resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted virtually or in New Jersey, governed by the Federal Arbitration Act, and administered by JAMS under its Streamlined Arbitration Rules. Each party will bear its own costs and attorneys’ fees.

You and Savor each waive the right to a trial by jury and the right to participate in any class action, class arbitration, or representative proceeding. All claims must be brought in an individual capacity only.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for actual or threatened infringement of intellectual property rights.
